ANNOUNCEMENT INITIATION OF A SPIN OFF

Initiation of the division process by way of a spin-off of the sector of sea transport of passengers, private vehicles, and freight units and its absorption by the 100% subsidiary «BLUE STAR FERRIES SINGLE MEMBER M.S.A.»

Attica Holdings S.A. (the “Company”) announces that the Board of Directors of the Company decided on 27.06.2024 the initiation of the division process by way of a spin-off of the sector of sea transport of passengers, private vehicles, and freight units and its absorption by the 100% subsidiary “BLUE STAR FERRIES SINGLE MEMBER M.S.A.” (the "Recipient Company"). The sector which will be transferred to the Recipient Company originated from the merger through absorption of "ANEK LINES S.A." (“ANEK”). The above spin-off via sector absorption will be implemented in accordance with the provisions of L.4601/2019, L.4548/2018 and L.D. 1297/1972. The transformation date is set for 30.06.2024. Following the completion of the spin-off, which is expected within the current year, the Company, beyond the ownership of investments and assets, will continue to provide, amongst others, administrative and consulting services to the members of its Group. The above decision was made by the Board of Directors in the context of the mediumterm strategic plan implementation, which was announced during the Company's merger process with ANEK.

In addition, taking notice of the recent changes in the regulatory framework of the Athens Exchange, the Company in cooperation with its main shareholder is considering various alternatives that will strengthen its presence in the capital markets, in particular through the increase of the free float of the Company’s shares.
